MIAMI, FL / ACCESSWIRE / August 22, 2023 / Digital World Acquisition Corp. (NASDAQ:DWAC) (the "Company" or "DWAC") urgently requested today that its stockholders immediately vote FOR the proposal to amend the Company's amended and restated certificate of incorporation as further amended on November 22, 2022, to extend, upon the approval by the Company's board of directors, the period of time for the Company to (i) consummate a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination involving the Company and one or more businesses, (ii) to cease its operations if it fails to complete such business combination, and (iii) to redeem or repurchase 100% of the Company's Class A common stock included as part of the units sold in the Company's initial public offering that was consummated on September 8, 2021 up to four times, each by an additional three months, for an aggregate of 12 additional months (which is from September 8, 2023 up to September 8, 2024) or such earlier date as determined by the Board (the "Extension").
Eric Swider, Chief Executive Officer of the Company, noted, "Although so many of our stockholders have already voted for the Extension, today's vote count shows that we still have a ways to go to pass the amendment and extend the life of the Company. While we currently fall short of the necessary votes to extend the liquidation date, we urge our stakeholders to come together and support this extension. We believe in the value and prospects we bring to the table and to a true democracy in the United States, and with the continued support of our shareholders, we can navigate this challenge successfully and potentially complete the proposed business combination with Trump Media and Technology Group Corp. ("TMTG"), which we know so many of our stockholders believe in. If more of our stockholders do not promptly vote for the Extension, we will be forced to liquidate on September 8, 2023."

The special meeting of stockholders to consider the Extension will be held at 10:00 a.m. Eastern Time on September 5, 2023.

If the Extension is not approved and the Company does not consummate an initial business combination by September 8, 2023, in accordance with its charter, it will (i) cease all operations except for the purpose of winding up, (ii) as promptly as reasonably possible but not more than ten business days thereafter subject to lawfully available funds therefor, redeem 100% of the shares of Class A common stock in consideration of a per-share price, payable in cash, equal to the quotient obtained by dividing (A) the aggregate amount then on deposit in the trust account (the "Trust Account"), including interest (net of taxes payable, less up to $100,000 of such net interest to pay dissolution expenses), by (B) the total number of then outstanding shares of Class A common stock, which redemption will completely extinguish rights of public stockholders (including the right to receive further liquidating distributions, if any), subject to applicable law, and (iii) as promptly as reasonably possible following such redemption, subject to the approval of the remaining stockholders and the Company's board of directors in accordance with applicable law, dissolve and liquidate, subject in each case to the Company's obligations under the Delaware General Corporation Law to provide for claims of creditors and other requirements of applicable law. There will be no distribution from the Trust Account with respect to our warrants, which will expire worthless in the event of our winding up.
